DigitALL Engine – Terms Addendum

This DigitALL Engine Addendum (“Addendum”) supplements the Master Terms & Conditions (“Master Terms”) of Sivaiah Technologies Inc. (“Company”, “we”, “us”, or “our”). By subscribing to or using the DigitALL Engine services through portal.sivaiah.com, you agree to be bound by both the Master Terms and this Addendum. In case of conflict, this Addendum governs your use of the DigitALL Engine.

1. Scope of Services

The DigitALL Engine is a digital transformation platform that enables clients to:

  • Build and customize websites using proprietary templates, sections, and layouts owned by Sivaiah Technologies Inc.
  • Manage content, e-commerce listings, categories, and tags.
  • Enable payment collection, order management, analytics, and integrations (including Stripe, Canada Post, ChitChats, Calendly, and other approved services).
  • Access analytics dashboards, SEO tools, and optional features such as blogging.

All services are provided subject to the DigitALL Engine SLA.

2. Payment Terms

Subscriptions

Access to the DigitALL Engine is subscription-based. Subscription fees are billed through a third-party payment processor and are non-refundable except as required by law.

Platform Fees

For payment collection features, the Company charges a 0.25% platform fee on each transaction, in addition to standard third-party payment processing fees.

Renewal

Subscriptions automatically renew unless cancelled via portal.sivaiah.com before the next billing cycle.

3. Intellectual Property

All templates, sections, layouts, modules, and the DigitALL Engine itself remain the exclusive intellectual property of Sivaiah Technologies Inc.

Clients receive a limited, non-exclusive, non-transferable license to use these tools for the duration of their subscription.

No ownership or derivative rights are transferred to clients.

4. User-Generated Content

Clients may publish blogs or other content through their DigitALL-powered websites.

Prohibited Content

Clients may not post content that is unlawful, defamatory, harassing, hateful, discriminatory, obscene, infringing, or otherwise objectionable.

The Company reserves the right, but not the obligation, to remove content or suspend accounts in violation of this policy.

Clients remain solely responsible for all content they publish and any consequences of its publication.

5. Integrations and Third-Party Services

The DigitALL Engine integrates with certain third-party applications, including payment processors, shipping providers, and scheduling tools.

Disclaimer

The Company is not responsible for the availability, performance, or errors of any third-party services and disclaims all liability for damages arising from their use.

Clients are responsible for complying with the applicable terms of service of integrated third-party providers.

By enabling payment collection, Client agrees to the payment processor’s terms (including any Connected Account agreement).

6. Service Levels and Availability

The DigitALL Engine is subject to the DigitALL Engine SLA, which forms part of this Addendum. The SLA outlines performance targets, maintenance windows, incident response protocols, and support standards.

7. Customer Responsibilities

In addition to the obligations set out in the Master Terms, DigitALL Engine clients agree to:

  • Provide accurate and up-to-date information during registration and website setup.
  • Maintain the confidentiality of account credentials.
  • Ensure compliance with all applicable laws, including e-commerce, consumer protection, privacy, and intellectual property laws.
  • Follow reasonable usage guidelines provided by the Company.

8. Termination

The Company may suspend or terminate a client’s access to the DigitALL Engine for non-payment, breach of this Addendum, or violation of applicable laws.

Upon termination, the client’s license to use templates, layouts, and tools provided by the Company shall immediately cease.

9. Incorporation by Reference

This Addendum is incorporated into and forms part of the Master Terms. Together with the DigitALL Engine SLA, these documents constitute the complete agreement governing your use of the DigitALL Engine.
